General Terms & Conditions

1. Scope of Application

These General Terms and Conditions ("Terms") govern the use of services provided by Elevate Wisely, operated by Malek Kilani ("we," "our," or "us").

By engaging our services, you ("Client" or "you") agree to be bound by these Terms.

2. Services Offered

Elevate Wisely provides:

• AI workflow automation implementation (n8n)
• Custom AI application development
• AI strategy consulting

Specific services, deliverables, timelines, and pricing are defined in individual project proposals.

3. Project Phases

3.1 Discovery Phase

Initial consultation (30 minutes) is provided free of charge to assess project fit and requirements.

3.2 Proposal

Following discovery, we provide a written proposal outlining scope, timeline, deliverables, and fixed pricing.

3.3 Implementation

Upon acceptance of the proposal and initial payment, we begin implementation. Projects are delivered in iterative phases with client feedback.

3.4 Delivery & Support

Upon project completion, all deliverables are transferred to the Client. We provide 30 days of post-launch support for bug fixes and minor adjustments.

4. Payment Terms

• Fixed-Price Projects: 50% due upon contract signing, 50% due upon project completion and acceptance.
• Hourly Consulting: Billed monthly based on hours worked.
• Currency: All prices are in Euros (EUR) unless otherwise specified.
• Late Payments: Late payments may incur interest charges and suspension of services.

5. Client Responsibilities

The Client agrees to:

• Provide timely access to necessary systems, data, and APIs
• Provide clear requirements and feedback during the project
• Designate a primary point of contact for the project
• Review deliverables and provide feedback within agreed timelines

6. Intellectual Property & Ownership

6.1 Client Ownership

Upon full payment, the Client owns all deliverables created specifically for their project, including:

• Custom automation workflows
• Custom AI applications
• Documentation and training materials

6.2 Pre-Existing Materials

We retain ownership of:

• Templates, frameworks, and methodologies developed prior to the project
• General knowledge and expertise

6.3 Third-Party Tools

The Client is responsible for obtaining and maintaining licenses for third-party tools (e.g., n8n Cloud, AI APIs).

7. Warranties & Disclaimers

We warrant that:

• Services will be performed with professional care and skill
• Deliverables will substantially conform to agreed specifications

However, we do not warrant:

• Uninterrupted or error-free operation of third-party tools
• Specific business outcomes or ROI

8. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

9. Confidentiality

Both parties agree to:

• Maintain confidentiality of sensitive information
• Use confidential information only for the purpose of the project
• Not disclose confidential information to third parties without consent

10. Term & Termination

10.1 Project-Based Services

Engagement begins upon contract signing and ends upon delivery and acceptance of all deliverables.

10.2 Termination

Either party may terminate with written notice if:

• The other party breaches these Terms
• Mutual agreement is reached

Upon termination, Client pays for work completed to date.

11. Data Protection

We comply with GDPR and applicable data protection laws. See our Privacy Policy for details on how we process personal data.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Mannheim, Germany.

13. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date.
